Terms of Service

1. Introduction

These Terms of Service (the "Terms") are a binding legal agreement between you ("Customer", "you", or "your") and Lensmor Inc. (doing business as Lensmor, "Lensmor", "we", "us", or "our"), a company having its registered office at 1703 N Loop 1604 W Apt 5207, San Antonio, TX 78232, USA.

These Terms govern your use of the Lensmor Competitive Intelligence Platform, including our website, web dashboard, Application Programming Interfaces (APIs), Model Context Protocol (MCP) integrations, and any related services (collectively, the "Services").By registering for an account, accessing, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. The Service

2.1 Service Description

Lensmor is a SaaS tool designed to help organizations track competitor movements and generate actionable business insights. The Service aggregates strictly publicly available data from third-party sources and uses state-of-the-art proprietary algorithms and Artificial Intelligence (AI) to analyze changes and suggest potential "Actions".

2.2 Access and Seats

The Service is provided on a subscription basis. Your access is limited to the number of authorized users ("Seats") specified in your subscription plan. Each Seat is personal to a specific individual and may not be shared or used by more than one person, but may be reassigned to a new user replacing a former user.

2.3 API & MCP Access (API First)

We provide robust API and MCP interfaces to allow deep integration of Lensmor into your workflows.

  • Permitted Use: You may use the API/MCP to query data, trigger alerts, or feed insights into your internal tools (e.g., Slack, Lark, Internal Dashboards) or AI Agents.
  • Responsibility: You are solely responsible for the activity of any script, integration, or AI Agent that uses your API Credentials.
  • Rate Limits: We reserve the right to enforce rate limits to ensure the stability of the Service. Excessive usage beyond your plan’s limits may result in throttling or temporary suspension of API access.

2.4 Modifications

We act as a product partner to our customers. We are constantly improving Lensmor. We may introduce new features, change existing ones, or deprecate old ones. For material changes that negatively impact your usage, we will make reasonable efforts to notify you.

3. Account and Security

  • Registration: You must provide accurate and complete information when creating an account.
  • Credentials: You are responsible for maintaining the confidentiality of your login credentials and API Keys. You agree to notify us immediately of any unauthorized access to your account.
  • Team Management: If you are a Workspace Owner, you are responsible for the actions of the users you invite to your workspace.

4. Data and Content Rights

4.1 Customer Data (What you own)

You retain all rights, title, and interest in:

  • Configuration Data: The specific list of competitors you track, your alert preferences, and your internal notes.
  • Profile Data: Your team’s account information.

We claim no ownership over this data. You grant us a limited, non-exclusive license to use this data solely to provide and improve the Service (e.g., to crawl the URLs you provided).

4.2 Public Data & Data Collection Methodology

  • Source of Data: Lensmor monitors and aggregates information that is publicly accessible on the internet (e.g., public website HTML, public pricing pages, public press releases). We do not access, hack, or decrypt password-protected, gated, or private internal data of third parties.
  • Legitimate Interest: You represent and warrant that your request for Lensmor to track specific URLs or entities is based on a legitimate business interest and does not violate any laws applicable to you. You acknowledge that Lensmor acts as a generic web user agent on your behalf to access this public data.
  • Third-Party Rights: We do not claim ownership of the raw content created by third-party competitors.

4.3 AI & Machine Learning

You acknowledge that Lensmor uses Artificial Intelligence to generate insights.

  • Data Usage: We may use aggregated, anonymized usage data (e.g., "Which alerts are prioritized by users?") to train and improve our models. We will not use your confidential business logic or specific competitor lists to train models for other customers in a way that reveals your strategy.

5. Billing, Payment, and Refunds

5.1 Subscription Fees: Services are billed in advance on a recurring basis (monthly or annually) according to the pricing plan you selected.

5.2 Automatic Renewal: Your subscription will automatically renew unless you cancel it before the end of the current billing cycle.

5.3 Refund Policy (Strict No-Refund Policy) General Rule: Except as required by applicable law, all fees paid are non-refundable. Specific Exclusions: For clarity, Lensmor does not provide refunds, credits, or prorated billing for:

  • Partial Months: Cancellations made mid-cycle (you will retain access until the cycle ends).
  • Non-Usage: Accounts that were active but not utilized by the Customer.
  • AI Dissatisfaction: Dissatisfaction with the specific output, accuracy, or "hallucinations" of the AI insights (as detailed in Section 7).
  • Target Site Blocks: Inability to track a specific competitor website due to that third-party site implementing anti-bot measures, blocking mechanisms, or architectural changes that prevent data collection. Disputes: Any invoice disputes must be raised within seven (7) days of the invoice date. Failure to do so constitutes a waiver of your right to dispute that charge.

5.4 Overage Charges: Certain plans may have usage limits (e.g., number of tracked competitors, API calls). Usage in excess of these limits may incur additional charges.

6. Acceptable Use Policy

You agree not to use the Services to:

  1. Illegal Monitoring: Monitor websites or data sources in violation of their Terms of Service or applicable laws.
  2. Reverse Engineering: Reverse engineer, decompile, or attempt to derive the source code of the Service.
  3. Scraping: Use automated bots (other than via our official API) to "scrape" data from the Lensmor dashboard.
  4. Competitive Cloning: Access the Service for the purpose of building a similar or competitive product.
  5. Account Sharing: Share a single seat among multiple users to avoid purchasing additional seats.

7. AI & Data Accuracy Disclaimers

Lensmor utilizes advanced Large Language Models (LLMs) and proprietary technology to provide "Actions" and "Instant Insights". However, strictly due to the nature of AI and web data, the following disclaimers apply:

7.1 Nature of AI (No Guarantee of Accuracy)You acknowledge that AI models are probabilistic by design. While we strive for high accuracy, the Service may produce "hallucinations," false positives, omitted data, or contextually incorrect summaries. Lensmor does not warrant that the insights, summaries, or alerts will be 100% accurate, complete, or error-free.

7.2 Verification ResponsibilityLensmor is a "Co-pilot" and support tool, not a substitute for human verification. You agree to independently verify all critical data points (especially pricing changes, feature removals, or legal compliance issues) before taking any public-facing action or making significant business decisions based on Lensmor’s alerts.

7.3 No Professional AdviceThe suggested "Actions" (e.g., "Consider reviewing your Basic Plan pricing") are algorithmic suggestions generated for informational purposes only. They do not constitute professional legal, financial, strategic, or investment advice. Lensmor assumes no liability for any loss of profit, market share, or business reputation resulting from decisions made based on these insights.

8. Termination

  • By You: You may terminate your subscription at any time through your account settings. Your account will remain active until the end of the current billing period.
  • By Us: We may suspend or terminate your account if you violate these Terms (e.g., non-payment, API abuse).

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".TO THE MAXIMUM EXTENT PERMITTED BY LAW, LENSMOR DISCLAIMS ALL WARRANTIES...SPECIFICALLY, WE MAKE NO REPRESENTATION OR WARRANTY THAT:(A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;(B) THE SERVICE WILL BE ABLE TO BYPASS ALL ANTI-SCRAPING TECHNOLOGIES EMPLOYED BY THIRD-PARTY WEBSITES;(C) THE AI-GENERATED INSIGHTS WILL BE FREE FROM BIAS, ERRORS, OR HALLUCINATIONS.

10. Limitation of Liability

IN NO EVENT SHALL LENSMOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY).

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. General Provisions

  • Governing Law: These Terms generally are governed by the laws of United States Region, without regard to conflict of law principles.
  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
